Terms for Adding Your NinjaCard® to a Third Party Digital Wallet

These Terms for Adding Your NinjaCard® to a Third Party Digital Wallet (the "Terms") apply when you choose to add a NinjaCard® debit card (" NinjaCard® ") to a digital wallet or other payment service managed or owned by a third party ("Wallet"). In these Terms, "you" and "your" refer to the cardholder of the NinjaCard® , and "we," "us," "our," and " NinjaCard® " refer to the issuer of your NinjaCard® , Republic Bank of Chicago.

When you add a NinjaCard® to a Wallet, you agree to these Terms:

1. Adding Your NinjaCard® .

You can add an eligible NinjaCard® to a Wallet by following the instructions of the Wallet provider. Only NinjaCard® debit cards that we determine are eligible can be added to the Wallet. If your NinjaCard® or underlying account is not in good standing, that NinjaCard® will not be eligible to be added to or enrolled in the Wallet. We may determine other eligibility criteria in our sole discretion. When you add a NinjaCard® to a Wallet, the Wallet may allow you to (a) use the NinjaCard® to (i) enable transfers of money between you and others who are enrolled with the Wallet provider or a partner of such Wallet provider, and/or (ii) enter into transactions where the Wallet is accepted, including the ability to use the NinjaCard® to complete transactions at participating merchants' physical locations, e-commerce locations, and at ATMs; and (b) use other services that are described in the Wallet provider's agreement or that they may offer from time to time. The Wallet may not be accepted at all places where your NinjaCard® is accepted. We reserve the right to terminate our participation in a Wallet or with a Wallet provider at any time and the right to designate a maximum number of NinjaCard® debit cards that may be added to a Wallet.

2. Your NinjaCard® Terms Do Not Change.

The terms and agreement that govern your NinjaCard® do not change when you add your NinjaCard® to the Wallet. The applicable CardMember Agreement or account agreement that governs the NinjaCard® , as amended from time to time, are incorporated by reference as part of these Terms. Please review those agreements, as applicable, for important information on your rights and responsibilities when making transactions through a Wallet. The Wallet simply provides another way for you to make purchases or other transactions with the NinjaCard® .

3. Applicable Fees.

Any applicable fees, and charges that apply to your NinjaCard® or underlying account will also apply when you use a Wallet to access your NinjaCard® . NinjaCard® does not charge you any additional fees for adding your NinjaCard® to the Wallet or using your NinjaCard® in the Wallet. The Wallet provider and other third parties such as wireless companies or data service providers may charge you fees. You are solely responsible for reporting and paying any applicable taxes arising from transactions originated using your NinjaCard® information transmitted by a Wallet and you shall comply with any and all applicable tax laws in connection therewith

4. NinjaCard® Is Not Responsible for the Wallet.

NinjaCard® is not the provider of the Wallet, and we are not responsible for providing the Wallet service to you. We are only responsible for supplying information securely to the Wallet provider to allow usage of the NinjaCard® in the Wallet. We are not responsible for any failure of the Wallet, for any errors, delays caused by or the inability to use the Wallet for any transaction. We are not responsible for the performance or non-performance of the Wallet provider or any other third parties regarding any agreement you enter into with the Wallet provider or associated third-party relationships that may impact your use of the Wallet.

5. Transaction History.

You agree and acknowledge that the transaction history displayed in the Wallet solely represents our authorization of your Wallet transaction and may not reflect complete information about the transaction, nor any post-authorization activity, including but not limited to clearing, settlement, foreign currency exchange, reversals, returns or chargebacks. Accordingly, the purchase amount, currency, and other details for the Wallet provider's transaction history in connection with use of your Card in the Wallet may be preliminary and/or incomplete, and may not match the transaction amount that ultimately clears, settles, and posts to your Card's monthly statement, which shall be deemed the prevailing document.

6. Contacting You Electronically and by Email or through Your Mobile Device.

You consent to receive electronic communications and disclosures from us in connection with your NinjaCard® and the Wallet. You agree that we can contact you by email at any email address you provide to us in connection with any NinjaCard® product, service or account, or through the mobile device on which you have downloaded the NinjaCard® Mobile app. It may include contact from companies working on our behalf to service your accounts. You agree to update your contact information with us when it changes.

7. Removing Your NinjaCard® from the Wallet.

You should contact the Wallet provider on how to remove a NinjaCard® from the Wallet. We can also block a NinjaCard® in the Wallet from certain transactions or purchases at any time.

8. Governing Law and Disputes.

These Terms are governed by federal law and, to the extent that state law applies, the laws of the state that apply to the agreement under which your NinjaCard® is covered. Disputes arising out of or relating to these Terms will be subject to any dispute resolution procedures in your NinjaCard® agreement.

9. Ending or Changing these Terms; Assignments.

We can terminate these Terms at any time. We can also change these Terms, or add or delete any items in these Terms, at any time. Your use of a NinjaCard® in a Wallet after we have made such changes available will be considered your agreement to the changes. We will provide notice if required by law. We can also assign these Terms. Furthermore, subject to applicable law, at any time we may (i) terminate your use of any NinjaCard® in connection with a Wallet, (ii) modify or suspend the type or dollar amounts of transactions allowed using NinjaCard® debit cards in connection with a Wallet, (iii) change a NinjaCard® debit card’s eligibility for use with a Wallet and/or (iv) change the NinjaCard® authentication process. You cannot change these terms, but you can terminate these Terms at any time by removing all NinjaCard® debit cards from the Wallet. You may not assign these Terms.

10. Privacy.

Your privacy and the security of your information are important to us. Our Online Privacy Policy and, where appropriate, our U.S. Consumer Privacy Notice (available online at: https://www.ninjacard.com/privacy-policy.pdf), as amended from time to time, applies to your use of your NinjaCard® in the Wallet. You may be provided with the ability to share your NinjaCard® number with Wallet providers or a payment network, and you agree that we may share certain of your other information with the Wallet providers, merchants, a payment network, and others in order to provide the services you have requested, to make information available to you about your NinjaCard® transactions, and to improve our ability to offer these services. This information helps us to add your NinjaCard® to the Wallet and to maintain the Wallet. We do not control the privacy and security of your information that may be held by the Wallet provider and that is governed by the privacy policy given to you by the Wallet provider.

11. Notices.

We can provide notices to you concerning these Terms and your use of a NinjaCard® in the Wallet by posting the material on our website, through electronic notice given to any electronic mailbox we maintain for you or to any other email address or telephone number you provide to us, or by contacting you at the current address we have on file for you. 12. Limitation of Liability; No Warranties.

WE ARE NOT AND SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE OR INJURY OR FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, ARISING FROM OR RELATED TO YOUR ADDING A NINJACARD® TO A WALLET, OR YOUR ACCESS OR USE OF A WALLET. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS OF ANY KIND (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS) AS TO ANY AND ALL WALLETS AND ALL INFORMATION, PRODUCTS AND OTHER CONTENT INCLUDED IN OR ACCESSIBLE FROM THE WALLETS.

About NinjaCard®

NinjaCard® is a full-service financial solution designed to meet your banking and borrowing needs.  NinjaCard® features a checking account, accessed by your Visa® debit card, and a savings account that can earn interest (“FlexBanking”).  FlexBanking™ is provided by Republic Bank of Chicago, Member FDIC.  Additionally, you can draw funds from an optional line-of-credit (“LOC”), borrowing only what you need, receiving draws to your checking account, making LOC payments tailored to your regular income interval, and reborrowing as many times as you want up to your credit limit (“FlexLine”).  FlexLine™ is provided by First Electronic Bank, an FDIC-insured, state-chartered industrial bank headquartered in Salt Lake City, Utah (“FEB”) or other the lender named in the LOC Agreement.

Although NinjaCard, LLC acts as program manager for NinjaCard® FlexBanking™, the deposit account products and deposit account banking services, including the NinjaCard Visa® Debit Card are provided by Republic Bank of Chicago, Member FDIC (“Republic Bank’). *Lender Disclosures. In these FlexLine™ lender disclosures, the terms “FlexLine™” and “NinjaCard® FlexLine™” mean the line-of-credit (“LOC”) issued by First Electronic Bank, an FDIC-insured, state-chartered industrial bank headquartered in Salt Lake City, Utah (“FEB”) or other the lender named in the LOC agreement. The lender that issues your FlexLine™ may vary based on your state of residence and credit limit. To identify the lender of your FlexLine™, refer to the first paragraph of the Terms and Conditions of the LOC agreement. The LOC agreement—not any other document, statement, or action—shall govern the identity of your FlexLine™ lender. The FlexLine™ lender makes the loan decision, communicates the decision to the applicant, and disburses LOC draws to approved applicants. NinjaCard, LLC, the program manager for FlexLine™, services and collects your FlexLine™ on behalf of the lender. Accepted payment methods for FlexLine™ include one-time ACH or recurring ACH—which you may authorize through your secure online account located at www.ninjacard.com—and personal check, money order, or cashier’s check—which you mail to the remittance address listed in the LOC agreement. Cash and in-person payments are not accepted. FlexLine™ may not be available to residents of some states. See disclaimers appearing on the FlexLine application for details.

**Draw Disclosures. You need not hold a NinjaCard Visa® Debit Card to be eligible for a FlexLine™. If you choose to obtain both a NinjaCard Visa® Debit Card and a FlexLine™, then the FlexLine™ lender will disburse LOC draws to your NinjaCard checking account held by Republic Bank of Chicago, Member FDIC. If you open a FlexLine™ but do not obtain a NinjaCard Visa® Debit Card, then the FlexLine™ lender will disburse LOC draws to any U.S. domiciled deposit account you choose to link to your FlexLine™. Your use of the NinjaCard Visa® Debit Card or any other FlexLine™ linked account will never automatically initiate a LOC draw, even if the proposed transaction would exceed the balance of the deposit account to which the card is attached. Instead, you must affirmatively authorize a LOC draw by either logging in to the NinjaCard® online banking platform (www.ninjacard.com) or using the NinjaCard® mobile application. LOC draws disbursed to your linked bank account will generally become available 1-2 business days after you request the draw. The funds availability policies of the financial institution holding your bank account could delay draw availability beyond this 1-2 business day period. As the LOC lender has no control over the funds availability policies of your linked bank, you should review your bank’s deposit-account disclosures for details.

†Deposit Disclosures. In these FlexBanking™ deposit disclosures, the terms “FlexBanking™” and “NinjaCard® FlexBanking™” mean, collectively, the NinjaCard Visa® Debit Card and the checking and savings accounts held by Republic Bank of Chicago, Member FDIC. Republic Bank issues the NinjaCard Visa® Debit Card pursuant to a license from Visa U.S.A. Inc. The card may be used everywhere Visa® Debit Cards are accepted. Republic Bank holds two deposit accounts, a checking account associated with your NinjaCard Visa Debit Card and a savings account. You cannot have a checking account without the companion savings account. Funds deposited in the checking and savings accounts are insured aggregately up to $250,000. Banking services may not be available to residents of some states. See disclaimers appearing on the account application for details.

††Rewards Disclosures. Under the NinjaCard® rewards program, eligible customers may receive reduced FlexLine™ finance charges. Rewards eligibility requirements include avoiding any fee delinquency or negative balance in your FlexBanking™ checking and savings accounts, avoiding any payment delinquency in your optional FlexLine™, and authorizing the direct deposit of at least $500 of recurring monthly income (e.g., not loan proceeds) to your FlexBanking™ checking account. See the NinjaCard® website (www.ninjacard.com) for details concerning your eligibility and benefits. Please note: Your FlexLine™ will not be provided by Republic Bank of Chicago. Instead, FlexLine™ will be provided by the lender named in the line-of-credit agreement.

‡Early-Access Disclosures. Early access to direct deposit funds to your FlexBanking checking account depends on the timing of the submission of the payment file from the payer. We generally make these funds available on the day the payment file is received, which may be up to two days earlier than the scheduled payment date.

‡‡ANNUAL PERCENTAGE YIELD (“APY”) DISCLOSURES. The Annual Percentage Yield (“APY”) for the NinjaCard® savings account is variable and may change at any time. The disclosed 0.35% APY is effective as of Jun 16, 2025. No minimum balance is required. See the Deposit Rate Disclosure for the current APY.

Mobile Application. You can manage your NinjaCard® features—including your NinjaCard Visa® Debit Card, your FlexBanking™ checking and savings accounts, and your optional FlexLine™ line-of-credit—with either the online banking platform, located at www.ninjacard.com, or the NinjaCard® mobile application, available on the Apple App Store and Google Play. Notice of Furnishing Negative Information. NinjaCard, LLC may report information about your NinjaCard® FlexLine™ account to credit bureaus. Late payments, missed payments, or other defaults on your account may be reflected in your credit report.

Important Information About Procedures for Opening a New Account. To help the government fight the funding of terrorism and money laundering activities, federal law requires all financial institutions to obtain, verify, and record information that identifies each person who opens an account. What this means for you: When you open an account, we will ask for your name, address, date of birth, and other information that will allow us to identify you. We may also ask to see your driver’s license or other identifying documents.
